Please read the following membership terms carefully. We welcome your company to use the Global Codex (GCX including its sub-services) platform (hereinafter referred to as "this service"). To protect your rights as a member, please read the following terms carefully. Once you have clicked the checkbox of the Terms of Service, it will be deemed that you have fully understood and agreed to the terms and conditions below:

I. Member Registration and Login
All members must complete the login process before using GCX services including its sub-services. During login, members must enter accurate and complete information and must maintain and update this information. Falsification or misuse of others' information is strictly prohibited. Your company will have a unique account and password after registration (if your company agrees to have an employee apply for an account and password, it will be considered an action on behalf of your company). Your company is obligated to properly safeguard and maintain confidentiality. During the use of this information platform, your company is responsible for all actions taken using your unique account and password. If your company provides any incorrect or false information, SGS Taiwan Ltd. (hereinafter referred to as "SGS") has the right to suspend or terminate your company's account and refuse your company's continued use of this service.
If your account or password is stolen, misused, misappropriated, or used illegally by someone other than yourself (including situations where your company authorizes an employee to apply for an account and password, or if an employee leaves the company, your company also has the obligation to notify SGS to terminate the use of the account), please notify SGS immediately. This service will not be held responsible for any losses incurred due to failure to notify in a timely manner. If this results in losses for others, your company will be held liable.

II. Privacy Statement
This service will not collect your company's information without explicit notification. Except as required by applicable laws or by judicial authorities, SGS agrees not to disclose your company's name, address, or email address without your consent, unless:
- The member expressly instructs SGS to disclose this information, or
- A judicial authority requests SGS to disclose such information, or
- To protect and defend SGS's rights or property, or
- To take action in emergency situations to protect the personal safety of its members or the public.

III. Intellectual Property Rights Statement
The intellectual property rights of all services provided on this service belong to SGS or we have the full right to dispose of them. These services are only available for paid members to browse online. Without SGS’ consent, your company may not arbitrarily utilize, use, reproduce, copy, store, modify, distribute, quote, or link to these materials on other websites or media. Any unauthorized actions will be subject to legal action by SGS, and your company will bear all related legal and liability responsibilities.

IV. Modification of Terms of Service
SGS may modify the Terms Of Service ( hereinafter referred to as "TOS") at any time. By continuing to use the Service, the Member acknowledges this TOS and its modifications, and agrees to be bound by it.

V. Service Changes
SGS reserves the right to modify or terminate all or part of this service at any time, with or without prior notice to members. SGS shall not be liable to members or any third party for any modification or termination of this service if SGS exercises this right.

VI. Disclaimer
The services provided are for your company's reference only. While we strive to provide timely and accurate information, we assume no responsibility for any investment losses or related liabilities incurred by your company in using this service. You understand and agree to the following:
The Service may be wholly or partially interrupted, temporarily unavailable, delayed, or result in errors in data transmission or storage, data being tampered with, forged, or altered by a third party's system intrusion, or suffer direct or indirect loss due to natural disasters, malfunctions or failures of the software or hardware equipment of the Company, other collaborators, or relevant telecommunications operators' network systems, or human operational negligence, or any force majeure factors.
In such circumstances, the Company shall not bear any liability for compensation.
Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
You expressly understand and agree that SGS shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if SGS has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.

The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because SGS has no control over such sites and resources, you acknowledge and agree that SGS is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that SGS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

VIII. Member Conduct
Member agrees:
- to comply with law regarding the transmission of technical data exported from Taiwan through the Service
- not to use the Service for illegal purposes
- not to interfere or disrupt networks connected to the Service.
- to comply with all regulations, policies and procedures of networks connected to the Service.
The Service makes use of the Internet to send and receive certain messages; therefore, Member's conduct is subject to Internet regulations, policies and procedures.
Member agrees not to transmit through the Service any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature. Member further agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law or regulation. Attempts to gain unauthorized access to other computer systems are prohibited.
SGS may, at its sole discretion, immediately terminate the Service should Member's conduct fail to conform to these terms and conditions of this agreement.

IX. Indemnification
Member agrees to indemnify and hold SGS, its subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Member's use of the Service, the violation of this agreement by Member, or the infringement by Member, or other user of the Service using Member's computer, of any intellectual property or other right of any person or entity.

X. Laws
The TOS constitute the entire agreement between you and SGS and govern your use of the Service, superseding any prior agreements between you and SGS. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.
